Master service agreement
The framework contract that sets the general terms between a customer and a supplier, with later orders or statements of work adding the specifics.
An MSA typically covers liability, indemnities, confidentiality, payment, term and termination. For SaaS, the data protection terms usually sit in a separate data processing agreement that the MSA incorporates, and the order of precedence between the two decides which one governs when they differ.
